PLEASE READ CAREFULLY. THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION AND JURY-TRIAL WAIVER IN SECTION 21. THEY AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN THAT SECTION.

These Terms of Service ("Terms") govern your access to and use of DrezzDrew.com, including any content, accounts, downloads, music, media, merchandise, events, fan features, community features, newsletters, and related services offered through or linked from the website (collectively, the "Service").

By accessing or using DrezzDrew.com, by creating an account, or by clicking a button or checkbox indicating acceptance, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Website Provided "As Is"

The Service and all content, features, materials, accounts, downloads, media, music, merchandise listings, information, links, and services are provided "as is" and "as available," without warranties of any kind, express or implied.

BDDICO LLC and Drezz Drew do not promise that the Service will be available, secure, accurate, complete, current, uninterrupted, error-free, virus-free, compatible with your device, or suitable for any particular purpose.

2. No Commitment to Maintain Features

We may add, modify, suspend, restrict, discontinue, remove, or disable any part of the Service at any time, with or without notice. This includes accounts, login access, fan features, comments, messages, media, downloads, videos, music, exclusive content, archives, newsletters, merchandise links, event pages, and community areas.

You should not rely on the Service as a permanent storage location, permanent archive, guaranteed communication channel, or guaranteed source of content.

3. Eligibility

You must be at least 13 years old to browse DrezzDrew.com. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with permission from a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to make purchases, create a paid account, enter contests, or enter into any binding transaction through the Service.

We may refuse, suspend, restrict, or terminate access to the Service for any person at any time.

4. Accounts

If accounts are offered, you are responsible for your account, login credentials, and all activity under your account. You agree to provide accurate information and to keep your account information reasonably current.

We may reject, suspend, restrict, delete, or terminate accounts at any time for any reason, including suspected misuse, inactivity, security concerns, legal risk, impersonation, offensive conduct, or violation of these Terms. We are not liable for loss of access to your account, username, profile, submissions, messages, preferences, purchase history, or other account-related information.

5. Intellectual Property; No AI Training

All Service content, including music, recordings, compositions, videos, photographs, artwork, graphics, logos, names, likenesses, performances, text, design, layout, code, downloads, and other materials, is owned by Drezz Drew, BDDICO LLC, licensors, collaborators, or other rights holders, and is protected by U.S. and international intellectual property laws.

You may access the Service for personal, non-commercial use only unless we give written permission otherwise. You may not copy, reproduce, distribute, perform, display, modify, scrape, download, sell, license, exploit, or create derivative works from Service content except as expressly permitted by us in writing or by applicable law. No rights are granted by implication.

No AI / Machine-Learning Use. You may not use the Service or any content from it to train, fine-tune, evaluate, or develop any artificial intelligence, machine-learning model, large language model, generative model, or similar system, and you may not permit any third party to do so. This restriction is an express reservation of rights under, among other things, EU Directive 2019/790 Art. 4(3) and applicable U.S. law. Automated scraping, crawling, or text-and-data-mining of the Service is prohibited without our prior written consent.

6. Music, Media, and Downloads

Any music, videos, images, lyrics, performances, files, or downloads made available through the Service are for personal, non-commercial use unless clearly stated otherwise in writing.

Availability of content may change at any time. Access to a song, video, download, post, live stream, membership feature, or other content does not create a permanent right to access, copy, store, share, repost, remix, sample, distribute, perform, or exploit that content.

7. User Content

If you submit, post, upload, send, message, tag, comment, review, or otherwise provide content through the Service or related platforms ("User Content"), you are responsible for that content.

You grant BDDICO LLC and Drezz Drew a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, display, perform, distribute, modify, adapt, publish, excerpt, archive, delete, and otherwise use your User Content in connection with the Service, the artist Drezz Drew, promotion, moderation, operations, legal compliance, and related business purposes, in any media now known or later developed. To the maximum extent permitted by law, you waive any moral rights or rights of attribution in your User Content; where waiver is not permitted, you agree not to assert such rights against us or our licensees.

You represent and warrant that you have all rights necessary to submit your User Content and grant the license above, and that your User Content does not violate any law, contract, intellectual property right, privacy right, publicity right, or other right of any person.

We may remove, edit, restrict, moderate, or refuse User Content at any time and for any reason, but we have no obligation to monitor User Content.

8. Prohibited Conduct

You agree not to:

  • Violate any law or regulation.
  • Infringe intellectual property, privacy, publicity, or other rights.
  • Harass, threaten, abuse, defame, impersonate, exploit, or harm others.
  • Upload malware, spyware, harmful code, spam, scams, or deceptive content.
  • Attempt unauthorized access to the Service, accounts, systems, or data.
  • Scrape, crawl, harvest, or extract information without written permission.
  • Use bots, automation, data mining, AI / ML training, or similar methods without written permission.
  • Circumvent security, access controls, geographic restrictions, payment systems, or technical protections.
  • Interfere with the Service's operation.
  • Use the Service for commercial purposes without written permission.
  • Misrepresent your affiliation with Drezz Drew or BDDICO LLC.
  • Use Drezz Drew's name, image, likeness, music, trademarks, content, or brand in a misleading or unauthorized way.

9. Purchases, Pricing, Taxes, and Third-Party Sales

The Service may link to or integrate with third-party platforms (such as Shopify) for merchandise, tickets, music, memberships, subscriptions, donations, payments, or other transactions.

Unless expressly stated otherwise, purchases may be processed by third parties and governed by their terms, policies, fees, refund rules, shipping rules, and customer service procedures. Prices are stated in U.S. dollars unless otherwise indicated and are exclusive of applicable taxes, duties, and shipping charges, which will be calculated at checkout or by the third-party seller.

We reserve the right to correct pricing errors, refuse or cancel orders, limit quantities, and require additional verification before fulfilling an order. Where we are the seller of record, we will comply with applicable consumer protection laws, including the FTC Mail Order Rule for shipping timelines.

Where a third party is the seller of record, BDDICO LLC and Drezz Drew are not responsible for payment processing, shipping delays, lost packages, ticketing issues, event changes, platform outages, chargebacks, taxes, customs, or third-party errors.

10. Returns, Refunds, and Shipping

Shipping. Estimated shipping times are stated at checkout. If we cannot ship within 30 days of your order (or any other timeframe stated at checkout), we will notify you and offer a revised shipping date or a full refund, consistent with the FTC Mail Order Rule.

Returns. Unless otherwise stated at checkout, merchandise may be returned within 14 days of delivery if unused, unworn, and in original condition with tags attached. You are responsible for return shipping unless the item arrived damaged or incorrect.

Refunds. Approved refunds will be issued to the original payment method within 10 business days of our receipt of the returned item. Shipping fees, customs, and duties are non-refundable except where required by law.

Non-returnable items. Digital downloads, music files, gift cards, sale or "final sale" items, custom or personalized items, and intimate apparel are non-returnable except where required by law.

Damaged or wrong items. Contact partners@bddico.com within 7 days of delivery with photos. We will arrange a replacement or refund at no cost to you.

Where a third party (such as Shopify or an event ticketing partner) is the seller of record, the seller's return, refund, and shipping policies apply.

11. Subscriptions and Auto-Renewal

If we offer paid subscriptions or memberships (including The Cult), the subscription will automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. We will disclose the renewal terms, price, and cancellation instructions before you purchase, and send renewal reminders where required by law (including California's Automatic Renewal Law and the FTC "Click-to-Cancel" rule).

You may cancel a subscription at any time from your account settings or by emailing partners@bddico.com. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods except where required by law.

12. Events and Appearances

Any event, performance, appearance, stream, release date, tour date, merchandise drop, contest, or other announcement may be changed, postponed, canceled, restricted, or removed at any time.

You are responsible for confirming details with the official ticketing provider, venue, promoter, platform, or other relevant source. We are not responsible for travel costs, lodging costs, lost wages, incidental expenses, or other losses related to event changes, cancellations, errors, or reliance on Service information.

13. Contests, Promotions, and Giveaways

Any contest, promotion, sweepstakes, giveaway, fan campaign, or similar activity may be subject to separate rules. We may modify, suspend, cancel, or disqualify participants from any promotion where we believe it is necessary or appropriate. Participation does not guarantee winning, recognition, reposting, response, access, payment, collaboration, or any other benefit.

14. No Professional Advice

Service content is for general entertainment, promotional, artistic, informational, or fan-engagement purposes only. It is not professional, legal, financial, medical, mental health, career, business, or technical advice. You rely on Service content at your own risk.

15. Third-Party Links and Platforms

The Service may contain links, embeds, integrations, or references to third-party websites, platforms, social media accounts, streaming services, ticketing providers, merchandise stores, payment processors, videos, playlists, articles, or other resources.

We do not control and are not responsible for third-party content, policies, security, availability, accuracy, pricing, transactions, conduct, or services. Links do not imply endorsement.

16. DMCA / Copyright Complaints

We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512.

To submit a DMCA notice, send a written notification to our Designated Agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove allegedly infringing material and terminate the accounts of repeat infringers. A counter-notice procedure is available under 17 U.S.C. § 512(g). Misrepresentations in a DMCA notice or counter-notice may subject you to liability under 17 U.S.C. § 512(f).

17. Disclaimer of Warranties

To the fullest extent permitted by law, BDDICO LLC, Drezz Drew, and their respective owners, representatives, contractors, collaborators, service providers, licensors, and affiliates disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and quiet enjoyment.

We do not warrant that the Service or any content will meet your expectations or requirements. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, exclusions apply only to the extent permitted by law.

18. Limitation of Liability

To the fullest extent permitted by law, BDDICO LLC, Drezz Drew, and their respective owners, artists, collaborators, contractors, licensors, service providers, representatives, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost access, lost opportunities, reputational harm, emotional distress, device damage, business interruption, or reliance damages.

To the fullest extent permitted by law, our total aggregate liability for any claim related to the Service or these Terms will not exceed the greater of (a) the amount you paid directly to BDDICO LLC through the Service in the three months before the claim arose, or (b) $100.

The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law, including, where applicable, liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or violations of mandatory consumer-protection statutes. Some jurisdictions (including New Jersey and Massachusetts) limit liability caps for consumer claims; in those jurisdictions, the cap applies only to the extent permitted by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless BDDICO LLC, Drezz Drew, and their respective owners, artists, collaborators, contractors, licensors, service providers, representatives, and affiliates from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your account; (c) your User Content; (d) your violation of these Terms; (e) your violation of any law or third-party right; or (f) your misuse of Drezz Drew's content, music, name, image, likeness, brand, or intellectual property.

We will (i) promptly notify you of any claim for which we seek indemnification, (ii) give you sole control of the defense and settlement of the claim (provided that any settlement requiring an admission of liability or payment by us must have our prior written consent, not to be unreasonably withheld), and (iii) provide reasonable cooperation at your expense.

20. Termination

We may suspend, restrict, or terminate your access to the Service, accounts, content, features, communications, or services at any time, with or without notice, for any reason or no reason, subject to applicable law.

After termination, provisions that by their nature should survive will survive, including intellectual property rights, User Content license, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and Sections 5, 7, 17, 18, 19, 21, and 22.

21. Dispute Resolution; Arbitration; Class-Action and Jury Waiver

Informal resolution. Before filing any claim, you agree to first contact us at partners@bddico.com with a written description of the dispute and your contact information, and to attempt in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally, you and BDDICO LLC agree that any dispute, claim, or controversy arising out of or relating to the Service, these Terms, or our marketing or communications (collectively, "Disputes") will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court if it qualifies. The arbitration will be conducted in Forsyth County, North Carolina, or by video / telephone at your election. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

Class-action and jury waiver. YOU AND BDDICO LLC AGREE THAT ALL DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU AND BDDICO LLC WAIVE ANY RIGHT TO A JURY TRIAL.

30-day opt-out. You may opt out of this arbitration agreement by emailing partners@bddico.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. The opt-out email must include your full name, mailing address, and account email. Opting out will not affect any other part of these Terms.

Carve-outs. Either party may seek injunctive or equitable relief in court for intellectual-property infringement or misuse, and nothing in this Section prevents you from filing a complaint with a government agency.

Court venue (if arbitration does not apply). If a Dispute is not subject to arbitration, it shall be brought only in the state or federal courts located in Forsyth County, North Carolina, and you consent to personal jurisdiction and venue in those courts.

22. Governing Law

These Terms are governed by the laws of the State of North Carolina and the Federal Arbitration Act (where applicable), without regard to conflict-of-law principles. Nothing in these Terms deprives you of the protection of mandatory consumer-protection laws of your country or state of residence that cannot be waived by contract.

23. Force Majeure

We are not liable for any delay or failure to perform caused by events outside our reasonable control, including acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government action, labor disputes, supply-chain disruptions, internet or hosting outages, power failures, or third-party platform failures.

24. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, sale of assets, financing, or by operation of law. Any attempted assignment in violation of this Section is void.

25. Severability; No Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision.

These Terms, together with our Privacy Policy and any rules, policies, or terms expressly referenced or applicable to specific products or features, constitute the entire agreement between you and BDDICO LLC regarding the Service and supersede any prior agreements on that subject. No oral or written statement by any employee, contractor, or representative modifies these Terms.

26. Electronic Communications and E-SIGN Consent

You consent to receive communications from us electronically (including email and notices posted on the Service), and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You have the right to withdraw this consent by emailing partners@bddico.com, but doing so may limit your ability to use the Service.

27. Accessibility

We strive to make DrezzDrew.com accessible to all users and continue working to improve accessibility consistent with WCAG 2.1 AA guidelines. If you encounter an accessibility barrier, please email partners@bddico.com so we can address it.

28. Changes to These Terms

We may update these Terms at any time. Changes are effective when posted unless otherwise stated. For material changes, we will provide reasonable notice (such as a website notice or email). Your continued use of the Service after changes are posted means you accept the updated Terms.
